The respondent is not in breach of its obligations to keep and maintain accurate membership information. Under the Constitution and Bylaws of St. Peter's, the pastor is responsible for membership records. Council has a fiduciary duty to St. Peter’s to ensure that an accurate membership list identifying eligible voters is available for the election: Thurston v. Bailey, 2008 BCSC 742 at para. 28. There is no need for the court to interfere in the affairs of the society by ordering the appointment of an independent person to prepare a membership list.
