I prefer the contextual approach adopted by the British Columbia courts in Kemp v. Lee. A contract which defines a party as “[identified party] or nominee” is not necessarily void for uncertainty where the contract and/or other evidence provides a basis for a court to interpret the “or nominee” to indicate a right to substitute one party for another.
