The share purchase agreement is dated October 10, 1991, though it was apparently signed in December of 1991. (It is Ex. 74 Tab 5, reproduced in AB v. 30 pp. 4488 ff.) As the respondent’s counsel pointed out, clause 3.2 is headed "vendor's representations and warranties respecting the corporation", whereas clause 3.3 is headed "vendor's representations and warranties respecting the assets". He stressed the last word.
