Legal set-off has several conditions. Both obligations must be debts and the debts must be mutual obligations. Moreover, the debts must be either liquidated sums or money demands which can be ascertained with certainty: see Telford v. Holt, 1987 CanLII 18 (SCC), [1987] 2 S.C.R. 193.
